Having grown up in his family’s electrical construction business and run that business for a number of years, Arnold Shaheen understands the challenges that small businesses face.  Whether those challenges result from cash flow problems caused by delinquent accounts, heightened lending standards required by lending institutions for financing business operations, personnel issues,  regulatory issues, or legal disputes, Mr. Shaheen is able to be of assistance to his business clients in these difficult economic times.

Moreover, his engineering education enables him to better understand the new ideas that budding entrepreneurs wish to commercialize.  And because of his pro bono involvement with economic development in Licking County, he is familiar with the variety of resources at the county, state, and federal levels as well as  private sources that may be available to start-up companies to fund the commercialization of those ideas, particularly in certain fields of high-technology involving advanced materials, biotechnology, alternative energy, medicine, and polymers.

During his thirty-three years of experience  Mr. Shaheen has handled a wide variety of transactional and litigation matters for business clients, including the following:

BUSINESS ENTITY FORMATION, REGISTRATION, AND DISSOLUTION:

  • Subchapter C corporations.
  • Subchapter S corporations.
  • Limited liability companies (LLC’s).
  • Partnerships.
  • Fictitious name registrations.
  • Corporate liquidations.
  • Non-profit corporations.

BUSINESS ENTITY TRANSACTIONS:

  • Contract preparation, review, and negotiation.
  • Corporation/shareholder/shareholder buy-sell agreements.
  • Cross-purchase life insurance agreements.
  • The purchase and sale of businesses.
  • Uniform Commercial Code transactions.
  • Collaterialized lender financing for business operations.
  • Drafting of proposed legislative changes to regulations impacting clients’ businesses.

NOTABLE ENGAGEMENTS:

  • Drafted proposed amendments to several sections of the National Electric Code, which have been submitted to the National Fire Protection Association on behalf of a local entrepreneur. The client has a patent pending on an invention that offers the promise of a new and disruptive technology for the electrical construction industry.  The proposed amendments, if adopted, would allow for professional engineers to specify this new invention for installation in commercial buildings and would allow for the approval of its installation by public electrical inspection authorities throughout the United States resulting in significant cost reductions for commercial property owners and tenants. These amendments are currently being considered by the code making panels of the National Fire Protection Association as proposed revisions to the 2011 National Electric Code.
  • General counsel for the Licking Metropolitan Housing Authority for thirty-three years.
